      General Terms and Conditions of Sale

      Our General Terms and Conditions of sale were last updated in January 2025.

      Please read these terms and conditions carefully before using Our Service.

      Preliminary information and contact details:

      These General Terms and Conditions of Sale (hereinafter the "GTC") apply to all sales contracts concluded between GUESS? India Private Limited, a company duly incorporated and registered as per the Company Law and is governed by the laws of India, with its registered office at 972, 9th Floor, C/o Regus, Tower A, Spaze I Tech Park, Sohna Road, Sector 49, Gurugram - 122018 (hereinafter referred to as 'GUESS') and CIN: U51909HR2018FTC074281, which operates thee Offline Stores and online store www.guess.in in India and a Client residing in India or purchasing GUESS products through the Offline and/or Online Store in(hereinafter the “Client”).

      The Client is required to read these General Terms and Conditions of Sale, read them carefully and accept them before placing an order on the Online Store. Consequently, following acceptance, any order for products placed on the Online Store is subject to the provisions of these General Terms and Conditions, in the version available on the Online Store when placing an order.

      By accepting the GTC, the Client accepts the content of the GTC and declares that he/she is a Client and is purchasing GUESS products for his/her personal use exclusively and not for resale as part of a commercial or professional activity of any kind.

      In order to protect its intellectual property rights and reputation, and to secure its distribution network, GUESS reserves the right to limit the quantity of products that can be purchased on the Online Store. The aforementioned limit can only be imposed before the purchase of the products by the Client.

      Interpretation and Definitions

      Interpretation

      The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

      Definitions

      For the purposes of these Terms and Conditions:

      Affiliate” means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

      Account” means a unique account created for You to access our Service or parts of our Service.

      Company” (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to GUESS? India Private Limited

      Country” refers to India

      Content” refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.

      Device” means any device that can access the Service such as a computer, a laptop, a cell phone or a digital tablet.

      Feedback” means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.

      Products” refers to the products or items offered for sale on the Service.

      Orders” means a request by You to purchase Products from Us.

      Promotions” refer to contests, sweepstakes or other promotions offered through the Service.

      Service” refers to the Website

      Terms and Conditions” (also referred as "GTC") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

      Third-party Social Media Service” means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

      Website” refers to www.guess.in.

      You” means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

      Acknowledgment

      These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

      Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who visit, access or use the Service.

      By visiting, accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

      You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

      Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

      Placing Orders for Products

      By placing an Order for Products through the Service, You warrant that You are legally capable of entering into binding contracts.

      Your Information

      If You wish to place an Order for Products available on the Service, You may be asked to supply certain information relevant to Your Order including, without limitation, Your name, Your email, Your phone number, Your credit card number, the expiration date of Your credit card, Your billing address, and Your shipping information.

      You represent and warrant that: (i) You have the legal right to use any credit or debit card(s) or other payment method(s) in connection with any Order; and that (ii) the information You supply to us is true, correct and complete.

      By submitting such information, You grant us the right to provide the information to payment processing third parties for purposes of facilitating the completion of Your Order.

      Product prices:

      Product prices are expressed in Indian Rupees (INR).

      The prices indicated on the Online Store include Goods and Services Tax (GST) at the rate applicable at the time of the order.

      The Company reserves the right to revise its prices at any time prior to accepting an Order.

      The prices on the Online Store do not include shipping costs, which are payable by the Client. Shipping costs will be added to the final total price at the time of placing the relevant order, according to the applicable shipping rates indicated on the Online Store.

      Payment by the Client may be made using any payment option available on the Online Store.

      The prices quoted may be revised by the Company subsequent to accepting an Order in the event of any occurrence affecting delivery caused by government action, variation in customs duties, increased shipping charges, higher foreign exchange costs and any other matter beyond the control of the Company. In that event, You will have the right to cancel Your Order.

      Payments

      Payment can be made through various payment methods we have available, such as Visa, MasterCard, Affinity Card, American Express cards or online payment methods (PayPal, for example).

      Payment cards (credit cards or debit cards) are subject to validation checks and authorization by Your card issuer. If we do not receive the required authorization, We will not be liable for any delay or non-delivery of Your Order.

      Promotions

      Any Promotions made available through the Service may be governed by rules that are separate from these GTC. If You participate in any Promotions, please review the applicable rules as well as our Privacy policy.

      Delivery of products:

      The products purchased by the Client must be delivered to the delivery address indicated by the Client and located in.

      GUESS strives to deliver the ordered products within 7 to 10 days. However, it can            take maximum 30 days in certain cases to deliver the ordered products. In the event            that delivery is postponed for reasons beyond GUESS's control, the Client will be            informed of a new delivery date.

      Right of withdrawal from a distance contract

      The Client may withdraw from a distance contract without giving any reason and return the products purchased on the Online Shop within 30 calendar days from the date of receipt of the ordered products. In order to comply with the withdrawal period, it is sufficient for the Client to send a notice of withdrawal within the aforementioned 30-day period.

      In order to exercise the right of withdrawal, the Client is required to inform GUESS of his/her decision to withdraw from the contract by means of an unequivocal statement. The Client is required to use the electronic procedure available in the MY ACCOUNT or REFUND sections of the Online Store.


       If the Client prefers not to use the above procedure, he may make a declaration of withdrawal from the contract using the following form, which is however only an example:

      Returned items should be sent to GUESS? India Private Limited having registered office at 972, 9th Floor, C/o Regus, Tower A, Spaze I Tech Park, Sohna Road, Sector 49, Gurugram – 122018.

      GUESS is required to send the Client without delay a notice of receipt of the notice of withdrawal on a durable medium (by e-mail for example).

      In the event of withdrawal from the contract, GUESS undertakes to reimburse the Client for all relevant payments made by the Client including, where applicable, shipping costs.

      Subject to other terms of the present GTC, the reimbursement of the payment will be ordered immediately by GUESS and in any event no later than 14 days from the day on which GUESS was informed of the Client's decision to exercise his right of withdrawal. The time limit for reimbursement of the amount due to the Client depends on the Client's bank or third-party payment service provider (such as PayPal, etc.) and does not depend on GUESS? in any case. GUESS undertakes to reimburse the payment to the Client only using the payment method selected by the Client during the original transaction. In any event, the Client shall not bear the costs associated with the reimbursement.

      GUESS may withhold a refund until receipt of the products or until the Client provides proof of return, whichever occurs first.

      Returned products must be shipped to GUESS? India Private Limited having registered office at 972, 9th Floor, C/o Regus, Tower A, Spaze I Tech Park, Sohna Road, Sector 49, Gurugram - 122018 in a single shipment within fourteen [14] calendar days from the day the Client informed GUESS of his withdrawal from the contract. The products can be returned using the return label automatically generated after completing the registration procedure as described in the Online Store (or the return label provided by Guess to the Client, together with the ordered products). The Client can choose any method of returning products of his own choice and bears the return costs, accordingly; Guess offers Clients who choose the method of returning products made available by Guess, 1 free return shipment per month. It is strongly recommended to include in the return package, especially if the Client decides to use the withdrawal form, the number and date of the order, in order to allow Guess to identify the shipment and carry out the return procedure.

      The right of withdrawal does not extend to the delivery of products in sealed packaging which cannot be returned for reasons of hygiene or health protection and which have been opened after delivery.

      The Client is liable for any reduction in the value of the product resulting from its use beyond what is necessary to establish the nature, characteristics and functioning of the product. This means that in the context of the Client's withdrawal from the contract, GUESS is entitled to request compensation from the Client for any damage caused by the return of used products (e.g. damaged, washed, incomplete).

      Complaints (defective products and other cases):

      In the event of delivery of defective products by GUESS, the Client is entitled, under the legal guarantee, to the following remedies;

      -price reduction;

      -refund of the price (termination of the contract);

      -replacement of defective products;

      -product repair.

      The warranty is valid for 1 month for Apparels and 3 Months for Handbags from the date of delivery of the products.

      Returns and Exchanges are to be raised within 7 days of delivery wherever applicable. Do not accept the order in case of any damaged or torn packaging received from the delivery agent. Kindly raise the same to our customer care within 24 hrs.

      Instead of a reduction in the price of the product or a refund of the purchase price (termination of the contract) requested by the Client, GUESS may, immediately and without undue inconvenience to the Client, replace the products with the same products free of defects or repair the products. The above provisions do not apply if the products are the subject of a complaint by the Client for the second time.

      If the replacement of the products with products free of defects or the repair of the products in accordance with the Client's request is impossible or involves excessive costs compared to the method proposed by GUESS, GUESS may offer the Client a reduction in the price of the products or a refund of the purchase price of the products (termination of the contract).

      To lodge a complaint (due to a defective product or for any other reason), the Client may:

      -File a claim online. To use this option, the Client must contact Client Service at customercare.india@guess.eu. If necessary, Client Service staff may request photos of the products with a visible defect or to which the claim refers. Client Service staff can generate a label for the carrier that will allow the Client to send the products subject to claims to GUESS by carrier at GUESS's expense. GUESS recommends using this form of filing a claim because it is convenient for the Client.

      -If the Client prefers not to use the above-mentioned complaint form, the Client may use the following form:

      GUESS is obliged to respond to the Client's complaint immediately, and no later than 14 calendar days from its receipt. Failure by GUESS to respond within the aforementioned period means that GUESS considers the Client's complaint to be unjustified. GUESS undertakes to inform the Client immediately of any deficiencies in the complaint and to provide information on how to remedy said deficiencies.

      In the event that the Client, under the legal warranty, claims a refund or a price reduction, the following rules apply: upon receipt of the products at the following address: GUESS? India Private Limited having registered office at 972, 9th Floor, C/o Regus, Tower A, Spaze I Tech Park, Sohna Road, Sector 49, Gurugram - 122018  and as soon as GUESS has confirmed that the products are defective, GUESS undertakes to send an e-mail to the Client confirming its acknowledgement of the return of the defective products, to order a refund (total or partial) of the price and all shipping costs (including for the return of the product) to the bank or third-party payment service provider (such as PayPal, etc) no later than 14 days after receipt of the refund. The time limit for refunding the amount owed to the Client depends on the Client's bank or third-party payment service provider (such as PayPal, etc.) and in no case depends on GUESS.

      Your Feedback to Us

      You assign all rights, title and interest in any Feedback You provide the Company. If for any reason such assignment is ineffective, You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.

      Termination

      We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

      Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Service.

      Limitation of Liability

      Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service.

      To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

      Governing Law

      This GTC, and any dispute arising out of the subject matter of this GTC, shall be governed by the laws of the India

      Disputes Resolution

      If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

      Any dispute or controversy arising out of this agreement and subject matter of this agreement shall be settled by mutually appointed Sole Arbitrator.

       

      Force Majeure

      GUESS shall not be responsible for the failure to deliver or delay in delivery of product ordered by You by using Our service or any delay in performance of any obligation hereunder due to labor disturbances, accidents, fires, floods, telecommunications or Internet failures, strikes, wars, riots, rebellions, blockades, acts of government, governmental requirements and regulations or restrictions imposed by law or any other similar conditions beyond the reasonable control of the Company. The time for performance and delivery of product by GUESS shall be extended by the period of such delay.

      Severability and Waiver

      Severability

      In the event that any provision of these GTC is invalid, illegal or ineffective, this shall not result in the total nullity of these GTC. Any ineffective provision shall be replaced by another valid provision, taking into account the intention and content of said provision, within the scope and meaning permitted by applicable law.

      Waiver

      Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

      Changes to These Terms and Conditions

      We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

      By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.

      Conclusion of the agreement:

      Once the Client has placed an order through the Online Store, GUESS will send an order confirmation to the Client by email. GUESS may choose to accept, in whole or in part, any changes to the order requested by the Client, provided that GUESS is able to review the change before shipping the ordered products to the Client. To modify an order, the Client must contact Customer Care.
